Terms of Service

This is an agreement between you (or the company you represent, “you”) and [LEGAL ENTITY NAME] (“we”, “us”), operator of VSIP. If you are agreeing on behalf of a company, you confirm you have the authority to bind it.

VSIP provides voice-intelligence APIs: real-time voice events, speaker profiles, batch audio analytics, and client SDKs. We may improve, change or deprecate features. If we remove or make a breaking change to a paid API, we will give you at least 30 days' notice by email.

• —You are responsible for everything done with your API keys. Keep them secret; rotate them if exposed.
• —You must give accurate account information and keep it current.
• —You must be at least 18 and legally able to enter a contract.
• —One person or company per account, unless we agree otherwise in writing.

You keep all rights to the audio and data you send us. You grant us only the licence needed to process it and return results to you.

You are responsible for having a lawful basis to send us the voice data you send us. That includes obtaining any consent or notice required from the people whose voices are captured — particularly for voiceprints, which are biometric data under laws such as GDPR, BIPA and CCPA. You must not enroll someone's voice without the consent that the law in their jurisdiction requires.

We do not use your audio, voiceprints or results to train models. See the Privacy Policy for what we store and for how long.

You must not use VSIP to:

• —Identify or track people without their consent, including covert surveillance.
• —Build systems that discriminate against people on the basis of protected characteristics.
• —Impersonate a person, or defeat a voice-based authentication system you are not authorised to test.
• —Break the law, infringe others' rights, or violate anyone's privacy.
• —Resell, sublicense or white-label the API as your own competing voice-intelligence service.
• —Reverse-engineer the service, or attempt to extract the underlying models.
• —Circumvent quotas or rate limits, or place a load on the service designed to degrade it for others.

We may suspend an account that we reasonably believe is doing any of the above, and we will tell you why.

• —Paid plans are billed in advance each month. Usage above your plan allowance is billed in arrears at the rates shown on the pricing page.
• —Usage is metered by streaming minutes, audio-minutes analyzed, and profile API calls, as applicable to your plan.
• —Payments are processed by Stripe. Fees are exclusive of taxes, which you are responsible for.
• —Fees are non-refundable except where required by law. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• —If a payment fails, we may suspend access until it is resolved.
• —We may change prices with at least 30 days' notice; changes never apply retroactively to a period you have already paid for.

We work to keep VSIP available and fast, but the service is provided without an uptime guarantee unless you have a signed enterprise agreement that says otherwise. We may take the service down for maintenance.

VSIP produces probabilistic outputs. Speaker verification, identification, turn detection and noise classification are statistical judgements, not certainties, and they will sometimes be wrong.

Do not use VSIP as the sole factor in a decision that materially affects someone — including authenticating access to money, unlocking accounts, granting entry, or any legal, medical or employment decision. Voice verification is a signal to combine with others, not a lock.

We own the service, the models and the software behind it. You own your data. The client SDKs are released under the MIT licence and you may use them accordingly; that licence does not grant any right to the backend service itself.

The service is provided “as is”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.

You may close your account at any time. We may terminate or suspend your account for a material breach of these terms, or for non-payment. On termination, your data is deleted in accordance with the Privacy Policy. You can export your voice profiles and results before you leave.

These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute.
